Terms of Service
Effective date: November 5, 2026
This is an English translation for convenience. The Japanese version prevails in case of any discrepancy.
These Terms of Service (the “Terms”) set out the conditions between Frill Inc. (the “Company”, “we”) and the person placing an order (the “Client”) for the Live2D model production services we provide under the name “MEZAME” (the “Service”).
Article 1 (Types of service)
- Rigging your art: we create a moving model based on character art provided by the Client.
- All-in-one package: we draw the character art based on the Client's requests and create a moving model.
Article 2 (Formation of the contract)
- The production contract is formed when the Client accepts the quote we sent and we confirm payment.
- We may decline an order depending on its content (e.g. anything falling under the prohibited acts in Article 9, or art whose rights can't be confirmed).
- We do not create variants with sexual content (e.g. nudity, sexual acts, or emphasis on sexual body parts). Outfit changes within the range of ordinary clothing, such as underwear or swimwear, are accepted.
- We do not accept orders conditional on specifying the software or support tools we use (including requiring that a particular tool not be used) (Article 12).
Article 3 (Prices and payment)
- The price is the amount stated in the quote for each order, based on the prices (tax included) shown on the “Pricing” page of our site.
- The Client pays the full amount before production starts. However, for orders of ¥110,000 (tax included) or more, the Client may pay a deposit (50% of the price) before production and the balance (50%) before delivery.
- Payment is by credit card or bank transfer via Stripe (in preparation). Card payments go through your card issuer's identity check (3D Secure). Receipts are sent electronically (PDF).
- Prices are paid in Japanese yen, including for orders from outside Japan.
- For Clients who do not live in Japan, the price is the listed price excluding Japanese consumption tax (the tax-included price ÷ 1.1, rounded down to the nearest yen). Please tell us information that shows your country of residence (such as your address).
- For orders from companies and organizations, 50% of the price is paid when production starts, and the rest is paid by the invoice we send after delivery (closing at the end of the month, payable by the end of the following month; e.g. bank transfer via a Stripe invoice). Orders from individuals follow paragraph 2.
Article 4 (Production, review and revisions)
- We ask the Client to review the work during production and take revision requests. Free revisions are limited to 2 per review for Lite and Standard and 3 for Full; further revisions are ¥2,200 (tax included) each. Fixes for our own bugs are not counted.
- Changes beyond the scope of the quote (adding motion or expressions, major design changes, etc.) are quoted separately.
- Going back to redo a stage that has already been approved (e.g. changing the part separation or the art after the motion review) is also a change beyond the quote and is quoted separately.
- For Rigging your art, we use the lines and colors of the provided art as they are. How far each part can move depends on how the art can be separated, so the motion may differ from our samples.
Article 5 (Delivery schedule)
- The delivery date is an estimate counted from the day we confirm payment, based on the number of days shown on the “Pricing” page, and is stated in the quote. Days waiting for the Client's review are not included.
- If the Client's review replies or materials are delayed, the delivery date may be extended accordingly.
- If there is no reply within 14 days after we request a review, we treat that stage as approved and continue production. If there is still no response after 60 days, we will deliver the work in its current state and production will be deemed complete.
- If the Client chose the “Rush” add-on and we miss the rush delivery date for our own reasons, we refund the rush fee.
- If, for our own reasons, we are 30 days or more past the estimated delivery date given in the quote, the Client may cancel the order and we will refund the full amount paid.
Article 6 (Deliverables)
- We deliver, as data, the model files that can be loaded into VTube Studio (.moc3, textures, physics, expressions, settings, etc.), along with a transparent-background standing image (PNG) and a how-to guide.
- The layered PSD file and the Live2D project file (.cmo3) are delivered only when the Client chooses the paid add-ons (PSD ¥11,000; cmo3 from ¥110,000, or the same as the base price if the base price exceeds ¥110,000; tax included). Other production data is not delivered.
- If anything is found not to work as quoted within 30 days of delivery (60 days for Full), we fix it free of charge. If we cannot fix it, we refund part or all of the price according to the extent of the problem. This period is a guide for our free support and does not limit the Client's rights under the law.
- If we receive no report within 7 days of delivery that something does not work as quoted, the delivery is deemed accepted. Even after acceptance, we still fix defects found within the period in the previous paragraph free of charge.
- The Deliverables are downloaded from a URL we send by email. As a record of delivery, we keep the date and time, IP address and browser type of each download.
- The Deliverables carry an invisible mark that identifies each order. It does not affect how they look or move.
- If the Client loses the data, we re-send it free of charge within 1 year of delivery. After that, we re-send it for ¥3,300 (tax included) if we still have it.
Article 7 (Rights)
- The copyright of the models and art we create (the “Deliverables”) remains with us. We grant the Client an exclusive license to use the Deliverables freely within the scope of these Terms.
- The license to use the Deliverables begins when the full price has been paid.
- The character depicted in the Deliverables (name, backstory and appearance) is treated as the Client's. We do not use that character except for showing it as a sample under Article 11.
- Copyright of art provided for Rigging your art remains with the original rights holder.
- If the Client wishes to have the copyright transferred, we accept it for the same amount as the base price (tax included). Business orders are quoted separately.
- A copyright transfer includes the rights under Articles 27 and 28 of the Japanese Copyright Act, and we will not exercise our moral rights (showing samples follows Article 11). We cannot transfer the rights to art provided for Rigging your art; they remain with the original rights holder.
- The Client is free to create new art, 3D models, merchandise, etc. based on the character, including by asking other creators. To rework the model data we made itself, please choose the project file (cmo3) add-on or consult us in advance.
Article 8 (Scope of use)
- Individuals may freely use the Deliverables for the following purposes, whether commercial or not:
- Live streaming, video posting, social media and their monetization (tips, memberships, ad revenue, etc.)
- Promotion of the Client's activities (thumbnails, social media icons, etc.)
- Merchandise made and sold by the individual
- Use as an official company character, in advertising, merchandising or other use by a company or organization is “business use” and is accepted at the base price plus 50% (minimum ¥33,000, tax included).
- The Client may make minor modifications, such as changing colors or adding small props, without our approval. Major modifications, such as reworking the motion, require prior consultation with us.
- The Client may also have an AI program drive the model (e.g. as an “AITuber”). Embedding it in an app or game for distribution counts as business use, and the Client is responsible for checking whether a contract with Live2D Inc. is required. The ban on using the Deliverables for AI training (Article 9) still applies.
Article 9 (Prohibited acts)
The Client must not:
- Sell or give the Deliverables to a third party (resale, transfer, lending or redistribution, including letting anyone other than the Client use them — except performers and staff designated by the Client, and transfers notified under Article 9-2)
- Distribute or sell the Deliverables as assets or templates
- Claim to have created the Deliverables themselves
- Use the Deliverables as training data for AI, or let a third party do so
- Use them in ways that are against public order and morals, infringe third-party rights, or damage the reputation of the Company or others
- Place an order using art the Client does not have rights to, such as someone else's copyrighted work
- Use the Deliverables for NFTs or crypto assets
Use for political, religious or election activities counts as business use and requires prior consultation.
Article 9-2 (Transfer)
- By notifying us and paying a fee of ¥11,000 (tax included), the Client may transfer the right to use the Deliverables to another person. The new user must also agree to these Terms.
- For orders by a company or organization, no notice or fee is needed when performers change within that company or organization.
- After the transfer, the original Client may no longer use the Deliverables.
Article 10 (Credit)
- Credit is optional. We'd be happy if the Client writes “Live2D: MEZAME” somewhere convenient, such as a stream description or profile.
- For orders at the launch price, this credit is required.
- The launch price applies to the base price only; add-ons are charged at regular prices. “Portfolio opt-out” and “Rush” cannot be selected for launch price orders. The business-use surcharge is calculated on the regular base price.
Article 11 (Showing as a sample)
- After the Client's debut, we may show the Deliverables as samples of our work. If the Client does not want this, please choose the “Portfolio opt-out” add-on (Individual ¥11,000 / Business ¥22,000, tax included) when ordering.
- For Rigging your art, we show the Deliverables as samples only with the consent of the artist who drew the art.
- If the debut date is unknown, we may show them 3 months after delivery.
- If the Client later wants a sample removed (e.g. ending activities or continuing under a new name), we remove it for the same fee as “Portfolio opt-out”. We may also remove samples at our own discretion.
Article 12 (Tools used in production)
- For the All-in-one package, we may draw the character art using generative AI.
- We use software and support tools of our choice in production. Assembling the parts, tuning the motion and checking the result are done by us.
- Some marketplaces and streaming platforms have their own rules on works made with generative AI. If the Client uses the Deliverables on such platforms, the Client is responsible for checking those rules.
- Because the All-in-one package art may be drawn using generative AI, please do not announce the Deliverables as “made without AI”.
- Parts drawn using generative AI may not be protected by copyright under the law. The rights and license in Article 7 apply to the extent recognized by law.
Article 12-2 (All-in-one package design)
- We do not accept requests to make a character resemble an existing character, VTuber or real person (except when based on the Client's own face).
- At the design proposal stage, we ask the Client to check as well whether the design resembles any existing work or character. If a resemblance is found, we fix it at that stage.
- Once the Client has approved the design proposal (including after delivery), we do not accept changes on the grounds of resemblance to an existing work.
Article 13 (Art provided by the Client)
For Rigging your art, the Client guarantees that they hold the rights needed to turn the provided art into a model and use it (or have the rights holder's permission). If the Client did not draw the art, the Client must obtain the consent of the artist (rights holder), including for turning it into a Live2D model and for drawing in hidden areas or changing shapes. We may ask for a copy of that consent, and if it cannot be confirmed, we may decline the order or stop production. We also accept art made with generative AI, but not art that imitates existing characters or a specific artist's style. Any dispute with a third party arising from this shall be resolved by the Client at the Client's own responsibility and expense.
We never use the art or materials the Client entrusts to us to train AI. The services we use in production are limited to those that don't use the data we send them for training. We never hand the Client's art to third parties or use it for any purpose other than the Client's production.
Article 13-2 (Orders from minors)
Clients under 18 must obtain the consent of a parent or guardian. We enter into the production contract after confirming that consent.
We confirm consent by the parent's or guardian's name and an email from them. We may also check the name on the payment card.
Article 13-3 (Confidentiality)
We do not publish the Deliverables or the details of the order before the Client's debut. If a business order requires a non-disclosure agreement, please consult us separately.
Article 14 (Cancellation)
- If the Client cancels before production starts, we refund the amount paid minus payment processing fees.
- For orders from individuals, cancellations after production starts are charged as follows, and the rest is refunded:
- Up to the first review (part separation / design proposal): 30% of the price
- After the first review and before the motion review: 60% of the price
- After the motion review: 90% of the price
- For orders from companies and organizations, cancellations after production starts are charged 50% of the price up to the first review (part separation / design proposal), and 100% of the price after the first review.
- If we can no longer continue production for our own reasons, we refund the full amount paid.
- Once production has started, cancellations due to the Client's environment (computer, phone, apps, etc.) follow the cancellation fees in this Article, and no other refunds are given. Please tell us which app and environment you will use before ordering, and consult us in advance if you will use anything other than VTube Studio.
- Each Deliverable is made to order. Once production has started, no refund by withdrawal is available beyond the cancellation terms in this Article, including for orders from outside Japan. Please order only if you agree to this.
- If you would like a refund, please contact us before contacting your card company. If the payment is reversed through your card company (a chargeback), the license to use the Deliverables ends and you must stop using them. In that case, we will show the card company our review correspondence and the delivery record under Article 6, and we may ask streaming platforms and other services to remove streams or posts that use the Deliverables after the license has ended.
Article 14-2 (Termination by us)
- We may terminate the contract if the Client:
- does anything prohibited under Article 9;
- uses abusive language, threatens or stalks us or our staff;
- fails to pay by the payment due date (including payment by invoice for companies and organizations); or
- breaches Article 14-3.
- In that case, we charge for the work done up to that point (deducted from the amount paid), and the license to use the Deliverables ends.
- If the Client stops responding, Article 5 applies.
Article 14-3 (Exclusion of antisocial forces)
The Client promises that they are not an organized crime group or other antisocial force and have no ties to one.
Article 15 (Disclaimer)
- If the Deliverables stop working due to specification changes in VTube Studio or other third-party software, we will make reasonable efforts to help, but we cannot guarantee a fix.
- Except in cases of willful misconduct or gross negligence on our part, our total liability is limited to the amount paid to us for the order in question.
Article 16 (Changes)
We may change these Terms. When we do, we will announce the changes and the date they take effect on this page. Orders formed before a change are governed by the Terms in effect at the time of formation.
Article 17 (Governing law and jurisdiction)
These Terms are governed by the laws of Japan. Any dispute regarding the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance. However, this does not prevent consumers from exercising the rights granted by the laws of the country where they live (including bringing a claim in the courts of that country).
